Professor Tajti’s new article, “Berle and Means’ Control and Contemporary Problems”, demonstrates the continuing relevance of one classic law book in modern times. The paper, published by the Slovak Bratislava Law Review, is a contemporary reflection on the concept of control in corporate law which explores a number of present-day examples of control-related problems in Central Europe. Control (in the corporate law sense) was first conceptualized by Adolf A. Berle and Gardiner C. Means in their interdisciplinary book ‘The Modern Corporation & Private Property,’ first published in the United States in 1932 during the Great Depression. Tajti’s paper discusses also the pivotal role of control in the context of family-owned small-scale enterprises and common problems that occur in the inter-generational transfer thereof by employing many of the concepts developed by Berle and Means in their classic work.
